- Degree of equity ownership in cross-border acquisitions of Brazilian firms by multinationals: a strategic response to institutional distancePublication . Ferreira, Manuel Portugal; Vicente, Simone César da Silva; Borini, Felipe Mendes; Almeida, Martinho Isnard Ribeiro deThis study analyzes how foreign multinational enterprises respond to uncertainty in their cross-border acquisitions in emerging economies and, specifically in Brazil, given the institutional differences that separate the home and host countries. We analyze how institutional distance impactsmultinational enterprises strategy in taking a partial or full ownership stake in their Brazilian acquisitions. We propose that the equity stake is astrategic response to the uncertainty of operating in institutionally distant countries. In an study based on secondary data of 736 acquisitions between2008 and 2012, we tested statistically the relation between nine dimensions of institutional distance and the equity stake acquired. Results showdifferentiated effects albeit with significant evidence that greater geographic distance lead multinational enterprises to take a partial equity stake, while financial and cultural distance leads to a full acquisition. This study has two contributions: reinforces the understanding of the institutionalchallenges of entering emerging economies, and puts forth how firms’ strategies may incorporate structural solutions that minimize risks andinvestments when facing institutional uncertainties.
- International Business Research: Understanding Past Paths to Design Future Research DirectionsPublication . Ferreira, Manuel Portugal; Reis, Nuno Rosa; Almeida, Martinho Isnard Ribeiro de; Serra, Fernando RibeiroIn this paper we examine the extant research in IB by conducting a bibliometric study of the articles published in three leading international business journals – International Business Review, Journal of International Business Studies and Management International Review, over their entire track record of publication available in the ISI – Institute for Scientific Information. In longitudinal analyses of citation data we ascertain the most relevant works to the international business field. We also identify intellectual interconnectedness in co-citation networks of the research published in each journal. A second-tier analysis delves into publication patterns of those articles that are not at the top citation listings. Our results permit us better understand and depict the extant international business research and, to some extent, its evolution thus far.
- Mergers & acquisitions research: A bibliometric study of top strategy and international business journals, 1980–2010Publication . Ferreira, Manuel Portugal; Santos, João Carvalho; Almeida, Martinho Isnard Ribeiro de; Reis, NunoMergers and acquisitions (M&As) are important modes through which firms carry out their domestic and international strategies and have been noted as the CEOs favorite strategy. As a significant field of study, M&Aresearch has accumulated substantial knowledge. This bibliometric study examines the extant strategy and international business literature on M&As. Methodologically, we examined a sample of 334 articles published in sixteen leading management/business journals, during a 31 year period — from 1980 to 2010. The results provide a global perspective of the field, identifying the works that have had the greater impact, the intellectual interconnections among authors and works, the main research traditions, or themes, delved upon on M&Arelated research. Structural and longitudinal analyses reveal the changes in the intellectual structure of the field over time. A discussion on the accumulated knowledge and future research avenues concludes this paper.
- Organizational decline: a yet largely neglected topic in organizational studiesPublication . Serra, Fernando Ribeiro; Ferreira, Manuel Portugal; Almeida, Martinho Isnard Ribeiro dePurpose – In this article, the authors aim to review the extant literature and analyze the theoretical influence in the academic research of organizational decline and related topics (turnaround and bankruptcy, for example). They examine the theoretical contribution and the most influential authors to better understand the intellectual structure that connects theories and authors that have researched organizational decline. This study makes it possible not only to understand the current state of the art of research on organizational decline but also to uncover and guide future studies on organizational decline, based on the conceptual gaps identified. Design/methodology/approach – Empirically, the authors conduct a bibliometric study involving analyses of citations and co-citations to uncover the connections between authors and theories used. The bibliometric study was performed in 18 top-ranked management journals. Their sample of 104 articles was retrieved from ISI Web of Knowledge. Findings – The authors identified four clusters of research areas, and conclude that evolutionary theories support a considerable number of works, including studies on the effects of inertia, isomorphism and adaptation. Sociological approaches have also been used, namely examining the adjustment of the internal structures and actions to enhance positioning. Other research on decline is based on works on learning and decision making as well as on decline and turnaround strategies. Research limitations/implications – The main limitations concern the methods and the sample. Although the authors selected 18 top management journals, they do not encapsulate the entire stock of existing knowledge. Originality/value – Well known and reputable corporations, not only the small entrepreneurial firms, also face organizational decline and failure. Although organizational decline is a reality, there is a notable scarcity of research on the topic. Organizational decline is more often studied in small companies and attributed to the liability of newness and a lack of several types of physical, technological, financial and social resources. Although the authors expected a priori to identify works using a resource-based view, that was not the case, perhaps because since the 1990s strategy scholars’ interest in studying organizational decline diminished. Notwithstanding, organizational ecologists continue to work on organizational decline as it is one of the central areas of their work.
